Associate Solicitor - Capital markets (3+ PQE)

Job Duties: 

  • Advise issuers, underwriters, and sponsors on equity capital markets transactions, including IPOs (Hong Kong, U.S., and other international exchanges), Follow-on offerings and placements, Investment-grade and high-yield debt offerings.
  • Provide legal support on cross-border transactions involving PRC-based clients.
  • Draft and review offering documents, prospectuses, and transaction agreements.
  • Conduct legal due diligence and manage transaction execution timelines.
  • Liaise with regulators, external counsel, auditors, and clients.

Requirements: 

  • HK Qualified or US Qualified Lawyer 
  • 3+ PQE in capital markets at an international or reputable law firm
  • Native fluency in Mandarin (spoken and written) and fluent in English
  • Demonstrated experience in equity capital markets
  • Excellent drafting, analytical, and communication skills
  • Ability to manage multiple transactions and work effectively under pressure
